As a talented and ambitious Corporate Governance Paralegal, you will join our Global Governance’s dynamic Americas team in New York, NY and be part of our Americas Governance team based out of the New York and Jacksonville offices. The Americas Governance team, led by the Regional Head of Governance and includes six additional lawyers and a coordinator, manages a large portfolio (400+ entities) of Macquarie’s subsidiary companies across the region.
Key responsibilities will include:
- Maintaining and filing corporate governance information, including certificates of formations, minutes and resolutions, board and officer changes, powers of attorneys and delegations of authorities, dividend distributions, recapitalizations etc.
- Assisting the lawyers with board and committee meeting preparation by coordinating, constructing, and distributing meeting material books using online portal Diligent BoardBooks.
- Supporting the maintenance of corporate entity compliance including jurisdictional qualifications to do business and withdrawals, and annual reporting management.
- Liaising with external service providers in different jurisdictions, including our legal counsel, to ensure compliance with local laws and regulations.
- Working with other members of the team on special projects and initiatives.
- General corporate housekeeping.
You will need to possess a bachelor’s degree and completion of ABA-approved paralegal program is a plus while bringing at least 5yrs of paralegal experience focusing on corporate governance at in-house legal department and/or law firm. You will also need to demonstrate strong technology skills, including but not limited to, Microsoft Office applications coupled with familiarity and understanding of corporate records and entity management databases (such as Diligent Entities). In addition, you will have the ability to work independently and efficiently in a fast-paced environment and be able to adapt to changing priorities and business needs. Lastly, you will have superior project management and organizational skills, with a focus on continuous process improvement.

Salary
Salary range for this position: $78,300 - $115,500/Year. Actual base salary may vary based upon, but not limited to, relevant experience, time in role, peer and market data, prior performance, business sector, and geographic location. You may also be eligible for an annual discretionary incentive compensation award.
