Macquarie Asset Management Real Assets division has an opportunity for an experienced candidate to join the team in our Luxembourg office.
Based in Luxembourg, our Real Assets team is looking for a corporate governance professional to join its European team.

About the role
This is a full-time permanent role which forms part of a team of five Governance professionals who are embedded in, and work closely with, Macquarie Asset Management Real Assets global legal and specialist teams.
The role will give you responsibility for:
- the day-to-day governance management of a portfolio of various Luxembourg holding companies across several Infrastructure funds. In this respect, your role will be to ensure good governance practice are applied and obligations lying in the holding companies’ articles of association, contracts and shareholders agreements are respected, in compliance with Luxembourg corporate law as well as Macquarie internal policies and principles. You will need to manage your duties in collaboration with various internal (asset managers, deal, tax, finance, legal teams) and external stakeholders, among which Macquarie’s co-investors and corporate services providers while ensuring the holding companies’ as well as Macquarie’s corporate interests are protected;
- the management, from a Luxembourg corporate angle and in coordination with our Luxembourg based preferred legal advisors, of sizable business transactions, including asset acquisitions, distributions to investors and asset realisations as well as refinancing and business restructurings; and
- the identification and implementation of process improvement and efficiencies.
Your daily tasks will cover, in particular, and with the assistance of the administrative support team: (i) the organisation and management of the required Board meetings, (ii) the organisation and management of any required shareholders approvals, be it in the context of the annual general meeting, transactions or otherwise, (iii) any required corporate filings (RCS, RBE), (iv) the handling of any KYC request in relation to the holding companies and (v) generally any other corporate or administrative tasks and requests for the management of the Luxembourg holding companies as well as for the transactions you will be in charge of.
About the candidate
You will be driven and self-motivated, degree educated with some 4-5 years of experience as a lawyer, Governance professional and / or company secretary along with an understanding of, and interest in, corporate administration, financial services/domiciliation. You will be fluent in English (knowledge of French or German is considered a plus) with the ability to interact effectively with stakeholders both within and outside Macquarie at all seniority levels. You will have advanced skills on MS Word, Excel, PowerPoint and Adobe Acrobat, be highly organised and resourceful with the ability to work independently as well as within a team.
You will have excellent written and oral communication skills, be a highly motivated, proactive and resilient individual. You will demonstrate sound business judgement and possess strong interpersonal skills which will give you the ability to deal and negotiate with contacts both internal and external.
