Legal Counsel

The Banking and Financial Services (BFS) group comprises Macquarie's retail banking and financial services businesses, providing a diverse range of wealth management products and services to financial advisors, stockbrokers, mortgage brokers, professional service industries and retail clients.

BFS businesses in Canada currently include:

(a)  Macquarie Private Wealth (MPW) - a growing retail investment dealer with over 200 investment advisors in five provinces;

 (b)  Macquarie Global Investments (MGI) - a developer of specialized investment products and services, including Macquarie EquityPlus^®, an innovative protected leveraged investment program; and

 (c)  Macquarie Financial (MFL) - a mortgage provider and issuer under the Canada Mortgage Bond program.

Job Summary

Qualifications and Experience

•  LL.B./J.D. or equivalent

•  called  the bar of at least one Canadian province

•  1 to 3 years post-call corporate/commercial law or litigation experience with a leading law firm or financial institution corporate law department

Key Responsibilities

•  The key responsibilities of Legal Counsel are expected include developing as a in-house generalist lawyer, working, principally with MPW, on matters including the following :

Corporate/Commercial Law

•  drafting and negotiating commercial and other contracts

•  reviewing marketing material and client communications

•  working with Macquarie's Corporate Secretarial group to prepare formal corporate approvals, where required

•  assisting with keeping BFS Canada's Contracts Hub up to date

•  undertaking projects and support work on an as-needed basis MGI and MFL

 Litigation Management and Support

•  managing litigation conducted by external counsel

•  providing litigation support, including drafting and reviewing pleadings and affidavits

•  assisting with documentary discovery

•  attending at, and reporting to the Head of Legal and other management regarding, examinations for discovery

•  internal litigation reporting, including through Macquarie's central litigation database

Advice and Research

•  contributing to monitoring and providing transaction specific and general advice regarding evolving securities laws and other laws that may affect BFS Canada's businesses

•  undertaking both "quick-and-dirty" and more in-depth legal research where required

•  developing expertise in key areas of law relevant to BFS Canada's businesses

Compliance and Risk Management Support

•  assisting MPW's Compliance team in evaluating and addressing complaints and disputes

•  assisting with inquiries from regulators

•  supporting Macquarie's risk management and internal approval processes

Reporting

•  Reporting to the Head of Legal for BFS Canada
